General Terms of Consignment

For consignment sales, the minimum order value is €100 (subtotal after discounts, before VAT and shipping). Orders meeting the minimum qualify for free standard shipping. For orders below the minimum, shipping costs are shared with the shop and will be charged in the first monthly settlement.
1. Purpose of the consignment
Cocolitos products are supplied to the shop on a consignment basis. Title to the products shall remain with Cocolitos until the moment of sale to the end customer.
2. Retail price and trade margin
The recommended retail price (RRP) for each product will be communicated by Cocolitos.
The shop will receive a fixed margin of 40% on the RRP excluding VAT for each unit sold. The remaining 60% will correspond to Cocolitos, who will issue the corresponding invoice in each settlement.
3. Sales settlement
The shop undertakes to report and settle monthly (during the first week of the following month) the units sold.
The invoice arising from the consignment sale shall be settled within a maximum of 30 days. Payment shall be made by bank transfer to the account indicated by Cocolitos.
4. Duration of the consignment and returns
As a general rule, after 18 months from the delivery note date, consignment returns will not be accepted and the remaining stock will be invoiced in full. However, the possibility of maintaining or renewing the consignment will be assessed on a case-by-case basis.
For seasonal products (e.g., calendars), the validity will run until 31 January of the relevant year. Once this period has expired, the shop must pay for the units sold and return the unsold units in good condition.
Return costs shall be borne by the shop.
5. Responsibility and safekeeping
The shop shall be responsible for the safekeeping of the products while they are on consignment.
In the event of loss, theft or damage attributable to the shop, it shall bear the cost of the affected units at the agreed consignment price.
